1. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of a business or other entity, you represent that you have the authority to bind that entity, and “you” refers to that entity.

2. Description of Service

Accunumbers provides online bookkeeping and accounting-related tools and services, which may include transaction categorization, financial statement preparation, invoicing, reporting, and related features (the “Service”). Accunumbers is not a law firm, tax preparer, or financial advisory firm unless expressly stated in a separate engagement letter, and use of the Service does not create an accountant-client privilege except where required by applicable law.

3. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. When you register, you agree to:

• Provide accurate, current, and complete information during registration and keep it up to date;
• Maintain the confidentiality of your login credentials and restrict access to your account;
• Notify us promptly at the contact information below if you suspect unauthorized use of your account;
• Accept responsibility for all activity that occurs under your account, except to the extent caused by our failure to safeguard the Service.

4. Fees and Payment

Certain features of the Service require payment of fees, as described on our pricing page or in your applicable order form or engagement letter. By providing payment information, you authorize Accunumbers and its third-party payment processor(s) to charge the applicable fees, including recurring subscription charges, to your designated payment method.

• All fees are quoted in U.S. dollars unless stated otherwise and are non-refundable except as required by law or as expressly stated in your order form.
• You are responsible for any taxes associated with your purchase, other than taxes on Accunumbers’ net income.
• If a payment fails or is declined, we may suspend or terminate access to paid features until payment is resolved.
• We may change our fees prospectively upon reasonable notice; continued use of the Service after a fee change takes effect constitutes acceptance of the new fees.

5. Client Data and Responsibilities

You are solely responsible for the accuracy and completeness of the financial data, documents, and records (“Client Data”) you submit to the Service. Accunumbers is not responsible for errors resulting from inaccurate, incomplete, or untimely information provided by you. You retain ownership of your Client Data; Accunumbers is granted a limited license to use, host, and process Client Data solely to provide and improve the Service.

6. Confidentiality

Accunumbers will treat Client Data as confidential and will not disclose it to third parties except: (a) as necessary to provide the Service (including to subprocessors and payment processors under confidentiality obligations); (b) as required by law, subpoena, or governmental request; (c) with your consent; or (d) as described in Part 2 (Privacy Policy) below.

7. Intellectual Property

The Service, including all software, design, text, graphics, and other content (excluding Client Data), is owned by Accunumbers or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes, subject to these Terms.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulation;
• Upload data you do not have the right to submit, or that infringes the rights of any third party;
• Attempt to reverse-engineer, decompile, or gain unauthorized access to the Service or its underlying systems;
• Use the Service to transmit malware or engage in activity that disrupts the integrity of the Service;
• Resell or provide the Service to third parties without our prior written consent.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ACCUNUMBERS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY FINANCIAL REPORTS GENERATED WILL BE ACCURATE IF BASED ON INACCURATE CLIENT DATA.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACCUNUMBERS AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. ACCUNUMBERS’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES YOU PAID TO ACCUNUMBERS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Accunumbers and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your Client Data, or your violation of any law or third-party right.

12. Term, Suspension, and Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a risk to Accunumbers or other users. You may terminate your account at any time by providing written notice. Upon termination, we will provide a reasonable opportunity to export your Client Data, except where prohibited by law or where your account was terminated for cause.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction and venue of the state or federal courts located in DeKalb County, Georgia, and you consent to personal jurisdiction there. Each party waives any right to a jury trial in connection with any such dispute, to the extent permitted by law.

14. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice (such as by email or an in-Service notice) before the changes take effect. Continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
